Terms, conditions, explanations and information in addition to those listed on this page are found in the Buy section of this site and on the individual listing pages for all assets included in this auction. All terms, conditions, explanations and information are intended to be supplemental and complimentary to each other. They are incorporated by reference into this page, and collectively they govern this auction. In the event of a conflict or inconsistency among terms, conditions, explanations or information in the Buy section, the individual listing pages for assets and/or this page, the individual listing pages shall control this page and the Buy section, and this page shall control the Buy section. By registering to bid live and/or on the Internet, you agree to abide by all terms and conditions and you acknowledge receipt of all explanations and information made available by Purple Wave.

Deadlines and close of Internet bidding
The items will begin to close one item per minute at 10:00 a.m. CDT on Tuesday, December 2 and will sell to the winning Internet buyers at that time. The items will close in the order listed on the website. This auction will feature our automatic extension system which grants a five minute extension to the end of the auction of any item receiving a bid during the last few minutes. The item will then close when five minutes have elapsed without any activity.

Buyer's premium
A 10% buyer's premium will be added to all winning bids, resulting in the total purchase price.

Fees and charges for failing to timely remove or pay for items won
For late payments, winning bidder's credit card on file with Purple Wave will be charged for the total purchase price plus one $30 late payment fee. If no credit card information is on file or if the information is insufficient or outdated, a $30 late payment fee will be assessed for each partial or full day beyond the payment deadline for which payment is not made. Purple Wave and/or the seller reserve the right to pursue all legal remedies for late payment.

Consequences for failing to timely remove items from seller's facility.
All buyers expressly agree that, if items are not removed by the deadlines set forth in these terms and conditions, then the contract between the winning bidder and seller is breached and seller may, as its remedies, revoke the contract between buyer and seller, retain the items purchased by the buyer, retain the the complete purchase price paid by the buyer for any items, and dispose of the items as seller deems fit.

Title to assets passes on payment
Title to items passes when buyers pay for their items, irrespective of the items' location or possession. Buyers agree to hold seller and Purple Wave, Inc., harmless for any damage to items arising after transfer of title. It is incumbent on buyers to secure and insure items when title transfers.

No warranties
All items in this auction are sold ?AS IS,? unsupported, without warranty of any kind. Seller and Purple Wave, Inc. disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, including any that may arise from a course of performance, a course of dealing or trade usage. Neither seller nor Purple Wave, Inc. shall be liable for any error, omission, defect, deficiency, or nonconformity of any type in the property. All winning bidders will be required to execute this (Transfer, Release and Indemnity Agreement).

Inspection available November 24 and December 1 from 9 a.m. to 3 p.m. Pickup available by appointment only. Items must be removed before December 12, 2008. LSI will courier palleted assets to loading dock.
  The conveyor system will not be couriered to the dock by LSI; the buyer will need to contract a rigging company to courier the assets to the dock area at minimum. Rigging company must meet the insurance and bonding requirements requested by LSI. LSI will not allow buyers to courier their purchases off the manufacturing floor.

Payment information
Winning bidders must pay for their purchased items by 3:00 p.m. on the second business day after the auction. Every day except Sunday is considered a business day. Cash and wire transfers (wire instructions) in any amount will be accepted. Checks up to $10,000.00 will be accepted without a bank guaranty letter. Checks of $10,000.00 or greater will be accepted only with a bank guaranty letter (letter requirements) or with prior approval from Purple Wave's credit department. MasterCard or Visa will be accepted only for charges up to $2,000.00, and only after email authorization or in-person signatures are obtained from the cardholder. Purple Wave reserves the right to hold assets and/or certificates of title until funds availability is confirmed.

Item removal requirement
All items in this auction shall be extracted from seller's facility only by an extraction company pre-approved by seller. (View a pre-approved extraction companies list). All extraction services arrangements will be a direct contract between those service provides and the winning bidders, and seller will not be a party to any extraction services contract. Items 5089 and 5090 shall be removed from seller's facility on or before December 31, 2008. All other items in this auction must be removed from seller's facility by December 12, 2008.
